(EUROPA PRESS) &#8211; <\/p>\n<p itemprop=\"description\">   La compa\u00f1\u00eda biofarmac\u00e9utica AbbVie ha llegado a un acuerdo para la adquisici\u00f3n de Allergan, laboratorio propietario de Botox, por un total de 63.000 millones de d\u00f3lares (55.353 millones de euros) en efectivo y acciones, dando as\u00ed origen a un gigante del sector con una facturaci\u00f3n combinada de 48.000 millones de d\u00f3lares (42.174 millones de euros) anuales.<\/p>\n<p>   En concreto, AbbVie pagar\u00e1 12,30 d\u00f3lares en efectivo y entregar\u00e1 0,8660 acciones propias por cada t\u00edtulo de Allergan, lo que valora en 188,24 d\u00f3lares cada acci\u00f3n del due\u00f1o de Botox, con una prima del 45% respecto de su precio de cierre de este lunes.<\/p>\n<p>   AbbVie calcula que la compra proporcionar\u00e1 sinergias anuales y otras reducciones de costes por importe de al menos 2.000 millones de d\u00f3lares anuales (1.757 millones de euros) al tercer a\u00f1o de la transacci\u00f3n como resultado de la optimizaci\u00f3n de la investigaci\u00f3n y el menor solapamiento de recursos en I+D, as\u00ed como de eliminar redundancias en la fabricaci\u00f3n y la cadena de suministro.<\/p>\n<p>   Tras el cierre de la operaci\u00f3n, se espera que los accionistas de AbbVie controlar\u00e1n el 83% del capital de la empresa combinada, mientras que los accionistas de Allergan ser\u00e1n due\u00f1os del 17%.<\/p>\n<p>   Asimismo, AbbVie mantendr\u00e1 su sede fiscal en el estado de Delaware y continuar\u00e1 siendo dirigida por Richard A.
