(EUROPA PRESS) &#8211; <\/p>\n<p itemprop=\"description\">   Santander Consumer Bank ha pagado 57,6 millones de euros para hacerse con una participaci\u00f3n del 51% en Hyundai Capital Bank Europe, la empresa conjunta entre Santander y Hyundai Capital Services para la financiaci\u00f3n de autom\u00f3viles de Hyundai y Kia.<\/p>\n<p>   El pasado mes de diciembre, la Comisi\u00f3n Europea aprob\u00f3 la creaci\u00f3n de una empresa conjunta entre Santander Consumer Bank, filial alemana de Santander Consumer Finance, y Hyundai Capital Services, filial del fabricante surcoreano de autom\u00f3viles.<\/p>\n<p>   La instituci\u00f3n europea comunic\u00f3 entonces que la &#8216;joint venture&#8217; tendr\u00eda su sede en Alemania y ofrecer\u00eda servicios de financiaci\u00f3n en Europa para veh\u00edculos de las marcas Hyundai y Kia, as\u00ed como otros servicios relacionados, como seguros.<\/p>\n<p>   Aunque no trascendieron los t\u00e9rminos de la operaci\u00f3n, la informaci\u00f3n financiera intermedia del grupo Santander Consumer Finance correspondiente al primer semestre indica que la filial del Santander adquiri\u00f3 el 51% del capital de Hyundai Capital Bank a finales de marzo, para lo que transfiri\u00f3 una contraprestaci\u00f3n de 57,6 millones de euros, un precio que est\u00e1 sujeto a una revisi\u00f3n que no ha finalizado, pero para la que no se esperan variaciones significativas.<\/p>\n<p>   Seg\u00fan detalla el documento consultado por Europa Press, la adquisici\u00f3n se efectu\u00f3 a trav\u00e9s de la compra a Hyundai Motor Company de la totalidad de su participaci\u00f3n en el capital social, formada por 2,25 millones de acciones, por 22,6 millones de euros.<\/p>\n<p>   Adem\u00e1s, Santander Consumer Bank adquiri\u00f3 la totalidad de la participaci\u00f3n de Kia Motors Corporation en la compa\u00f1\u00eda (1,68 millones de t\u00edtulos) por 16,9 millones de euros, y compr\u00f3 a Hyundai Capital Services 1,8 millones de acciones por 18 millones de euros.<\/p>\n<p>   Al margen del precio pagado, las partes acordaron ampliar las reservas de la sociedad en 90 millones de euros para asegurar la expansi\u00f3n del negocio durante 2019 y cumplir con los requerimientos regulatorios. Para ello, Hyundai Capital Services aport\u00f3 44,1 millones de euros m\u00e1s y Santander Consumer Bank ampli\u00f3 las reservas en 45,9 millones de euros.<\/p>\n<p>   La combinaci\u00f3n de negocios tiene por objeto ampliar la presencia del grupo Santander Consumer Finance en el mercado de pr\u00e9stamos al consumo para la adquisici\u00f3n de veh\u00edculos en Europa.<\/p>\n<p>   Santander Consumer ha comunicado que a la fecha de emisi\u00f3n de las cuentas del primer semestre se realiz\u00f3 una contabilizaci\u00f3n provisional de la combinaci\u00f3n de negocios basada en informaci\u00f3n contable.<\/p>\n<p>   El valor razonable de las cuentas por cobrar adquiridas, principalmente de naturaleza financiera, ascend\u00eda a 642,5 millones de euros y no difer\u00eda de sus importes contracturales brutos. &#8220;Los administradores de la sociedad dominante no estiman que a la fecha de adquisici\u00f3n hubiera indicios de que no se fueran a cobrar en su totalidad&#8221;, indica la entidad.<\/p>\n<p>   Hasta el pasado mes de junio, la sociedad hab\u00eda aportado una p\u00e9rdida de 2,6 millones de euros al resultado del grupo consolidado.
